Fornax OpSuites Terms of Service

Last Updated: October 29, 2026

Version 1.1 · Effective October 29, 2026

1. Who we are and what this covers

These Terms are a contract between Fornax OpSuites LLC, an Arizona limited liability company (“Fornax”, “we”), and the business that buys a plan (“you”).

We sell two things.

  • Managed. We build your website and host it. We keep it running. You get a dashboard, lead alerts, and phone tools. It is billed monthly or yearly.
  • Website. We build your website. You pay once. We hand you the finished files, and you host them.

The schedules at the end are part of these Terms: phone and texting, listings and reviews, refunds and cancellation, Website handover, AI use, acceptable use, and data processing. If they conflict, this order wins: your order form, the data processing schedule (for your customers’ data), these Terms, then the other schedules.

You must be a business, not a consumer. The person who accepts must have authority to bind the business. If you are a franchisee, you confirm your franchise agreement lets you buy and run your own website.

2. How you accept, and what we record

You accept by ticking the box and selecting Continue at checkout. We record the version of these Terms, the date and time, the account and person who accepted, the plan and price, your claim checklist, and your content licence choices. That record is part of the contract.

There is no free trial. We charge you at checkout. Your plan starts when that first payment succeeds. Then we prepare your site for your approval.

3. What Managed includes

  • Your website. We build it from facts you confirm and public facts about your business. It is hosted with SSL on a Fornax web address. You may point your own domain at it.
  • Your dashboard. It has the features and logins for your plan. Solo has 2 logins. Crew has 10. There are no paid extra logins.
  • Lead alerts by email, app notification, and text message. Alert texts follow the Account Texts terms in Schedule 1.
  • Fornax Phone. It is optional. You get a Fornax number that rings through to you and logs calls. Two-way texting in your business’s name starts only after carriers approve your business (Schedule 1).
  • Search and listings care as set out in Schedule 2.
  • Edits through the dashboard within your plan. We do not write custom code for one client.

What stays ours. The site runs on our platform. We do not hand over source code, server access, or hosting under Managed. Your domain stays yours. You keep the registrar account and add one DNS record. If you cancel, your site comes down that day (Schedule 3). You may instead buy the Website handover.

Not included yet. Anything our site or dashboard marks “coming soon”. We offer it on separate terms when it exists.

4. What the Website purchase includes

You get a finished static website and one round of revisions before delivery. You get the handover pack: site files, a guide, and an export of your leads. Your form is pointed to an address you control. You get 30 days of move help and a 30-day defect fix (Schedule 4).

It does not include hosting, a dashboard, phone or texting, later edits, search work, or CRM sync. It does not include support after the 30 days.

5. Prices, billing and taxes

5.1 Prices. Your price is the one on your order form. Current list prices are on our pricing page. Managed annual costs 10 times the monthly price. The Website is a one-time price.

5.2 Billing. Managed is billed in advance through Stripe, monthly on your start date or yearly. It renews until you cancel. For annual plans we email you at least 30 days before each renewal.

5.3 Add-ons. Add-ons you choose are billed on your next invoice, at the prices on your order form and our pricing page. We do not bill for phone usage. If that ever changes, we tell you first, as section 15 requires for any change that is worse for you.

5.4 Taxes. Prices do not include sales or similar taxes. We add the tax Stripe Tax calculates where we must collect it.

5.5 Failed payments. If a payment fails we retry on day 3 and day 7 and email you. If it is still unpaid after 14 days, we may pause your site and dashboard. We restore them when you pay. If it stays unpaid for 30 more days, we may end your plan under section 13.

5.6 Founding clients. Fornax’s first 10 clients may buy as founding clients. A founding client pays the founding price on the order form, and it stays the same while the plan stays active. If a payment lapse is paid within the periods in section 5.5, the founding price stays. If the plan ends, the founding price ends with it. A founding price cannot be combined with another discount. Founding clients get a direct line to the founder, shared after sign-up, and invitations to town halls and meetings. Attending is never required. We quote a founding client publicly only with their written yes.

5.7 Price changes. We may change list prices for new purchases at any time. We will not raise your price during a term you have paid for. For your next term we give 30 days’ email notice (section 15).

6. Cancellation and refunds

Schedule 3 sets these out. In short: you can cancel in the dashboard with one tap, and service ends that day. You get a full refund in your first month (monthly) or first 14 days (annual). After that we refund the unused days of the period you paid for.

7. Your responsibilities

You are responsible for:

  • What your site says about you. You confirm each business claim at checkout. Examples are “licensed”, licence numbers, “insured”, “bonded”, years in business, service area, 24/7, guarantees, and prices. Claims you do not confirm are removed. We show “insured” or “bonded” only if you tick it. A claim that needs proof needs your proof, such as a registry number or an insurance certificate. If a claim stops being true, tell us or change it in the dashboard right away.
  • Your licence number. On an Arizona site we always show your Registrar of Contractors licence number as “ROC” and the number, as Arizona law requires of contractor advertising. You give us the number and keep it current.
  • Reading your site before you approve it and after you change it. See Schedule 5.
  • Content you give us. You promise you own it or may let us use it, and that it breaks no one’s rights. This includes your logo, photos, text, and old-site content. The content licence you accept at checkout gives us the rights we need. For an imported site you confirm you hold the rights to the content we keep.
  • How you contact your own customers. You are the sender of every message sent in your business’s name. Schedule 6 sets the rules. You are responsible for getting and keeping consent.
  • Your accounts. Keep passwords private. Turn on two-step sign-in (required for the owner). Remove staff who leave.
  • Your licences and the law of your trade and state, including contractor advertising rules.

8. What we do and do not promise

We will provide the service with reasonable skill and care. We will keep your data separate from other clients’ data. We will follow Schedule 7.

We aim for 99.5% availability of live sites each month, not counting planned maintenance. This is a target, with no credits.

No outcome promises. We do not promise any number of leads, calls, jobs, rankings, reviews, AI-search mentions, or revenue. Search engines, carriers and other platforms decide things we do not control.

Except as written here, the service is provided “as is” and “as available”. We disclaim implied warranties, including merchantability, fitness for a purpose, and non-infringement, as far as the law allows.

9. Data and privacy

For information about your customers that flows through your site, forms, phone line, and dashboard, you decide how it is used and we are your service provider (processor). Schedule 7 governs it. The data is yours. For our own account, billing, and sales records, our Privacy Policy applies.

10. Intellectual property

10.1 Yours. You keep all rights in your content: your name, logo, photos, text, and data.

10.2 Ours. We own the platform, design system, templates, components, and code, and any improvements, including ideas you suggest.

10.3 Managed licence. While your plan is active you may use your site and dashboard for your own business. When the plan ends, this licence ends.

10.4 Website licence. On delivery and full payment, Schedule 4 applies.

10.5 Credit line. Managed sites show a small “Website by Fornax” credit. Website buyers may remove it after delivery.

10.6 Copyright notices. To report material that infringes your copyright, email support@fornaxopsuites.com with “Copyright” in the subject. Send notices to Fornax OpSuites LLC at that address. We take down material on a valid notice. We end the account of a client who has three valid notices in 12 months. Material restored after a valid counter-notice does not count.

11. Suspension and takedown

We may remove content, pause texting, pause a site, or suspend an account at once. We do this if we reasonably believe that it breaks the law or Schedule 6, or infringes someone’s rights, or puts our systems or other clients at risk. We also do it if a carrier, registrar or platform requires it, or if we receive a valid legal notice. Where we can, we tell you why first and give you a chance to fix it. We restore the service when the problem is fixed. For anything not urgent we give you 5 business days’ notice first.

12. Your indemnity, and ours

12.1 Yours. You will defend Fornax and pay the costs, damages, and reasonable legal fees from a third-party claim. This covers claims that arise from content or claims you supplied or confirmed, messages sent in your business’s name through our tools, your breach of these Terms, or your business work. This does not cover text we wrote that you did not confirm.

12.2 Ours. We will defend you and pay the costs, damages, and reasonable legal fees from two kinds of third-party claim. One is a claim that our platform code (not your content) infringes a US copyright. The other arises from our breach of the security duties in Schedule 7. This is subject to the cap in section 14.

12.3 Process. The party asking for defence tells the other promptly, lets it control the defence, and helps reasonably. Neither settles in a way that admits fault for the other without written consent.

13. Term and ending the contract

These Terms last while you have an active plan or an undelivered Website order. Either of us may end them if the other seriously breaks them and does not fix it within 15 days of written notice. We may end them at once for fraud, illegal use, or repeated abuse under Schedule 6. Schedule 7 says what happens to your data. Sections 7, 10, 12, 14, 16 and 17 survive.

14. Limit of liability

14.1 Cap. Each party’s total liability arising out of or relating to these Terms is limited to the fees you paid Fornax in the 12 months before the event that caused the claim. For a Website purchase, the price you paid counts as fees paid in the 12 months after delivery.

14.2 No indirect losses. Neither party is liable for lost profits, revenue, business or goodwill. Neither is liable for lost data that a reasonable backup would have saved. Neither is liable for indirect, incidental, special, consequential or punitive damages, even if told they were possible.

14.3 What the cap does not limit. Your duty to pay fees, your indemnity under 12.1, either party’s liability for fraud, and anything the law does not allow to be limited.

15. Changes to these Terms

We may update these Terms. For a change that is worse for you, such as price, included features, data use, liability, or how disputes work, we email you at least 30 days before it applies. We ask you to accept the new version in the dashboard. If you do not accept, you may cancel before the change applies, and the old terms apply until your paid term ends. For other changes, such as clarity, new optional features, or legal requirements, we post the new version with a new date and email you. Continued use alone is never acceptance of a change that is worse for you.

16. Governing law and disputes

16.1 Talk first. Before filing a claim, the party with the complaint emails the other a short description. Both try in good faith to solve it within 30 days.

16.2 Law. Arizona law governs these Terms, without its conflict-of-law rules.

16.3 Courts. Disputes go to the state or federal courts in Maricopa County, Arizona. Either party may use a small claims court if the claim qualifies.

16.4 No arbitration. Disputes are not subject to arbitration.

16.5 Time limit. A claim must be brought within 2 years after it arises, unless the law requires a longer period.

17. General

Notices to us go to support@fornaxopsuites.com. Notices to you go to your account email. Neither party is liable for delays caused by events outside its reasonable control, such as outages of carriers, cloud providers, or registrars. You may not assign these Terms without our consent. We may assign them to a company that takes over the business or to an entity we control, with notice to you. These Terms and the schedules are the whole agreement. If a court finds a clause unenforceable, the rest stands. Not enforcing a right is not a waiver. We are independent contractors.

Schedule 1. Fornax Phone and texting (Managed)

  • Your own business number never moves. A Fornax number forwards calls to it and logs them.
  • Calls are not recorded and no AI answers them. If we ever offer either, it will be opt-in, and every such call will open with an announcement.
  • A caller you miss hears that we got their number and you will call back.
  • Texting starts only after carriers approve your business (10DLC registration, usually 1 to 3 weeks). You let us file the registration for you, and you promise the business facts you give us are true. We pay the carrier registration fees.
  • Texts go only to people who ticked an unticked “text me” box that names your business. The one exception is a single missed-call text-back, sent once, only to the caller who just called.
  • Texts go out in your business’s name, between 9 a.m. and 8 p.m. in the recipient’s time zone, and never outside 8 a.m. to 9 p.m. STOP is honoured at once. We keep proof of each consent.
  • We never send cold texts. Fornax sends no sales texts of its own.
  • Carriers can suspend a number for complaints. We may pause texting on your line to protect it.
  • Account Texts. If you add your mobile number and turn on alerts, Fornax texts you new-lead and missed-call alerts and sign-in codes you request. You can use email or app alerts instead. Reply STOP to stop alert texts and START to restart them. Message and data rates may apply. We do not share your number or opt-in with anyone for marketing.

Schedule 2. Search, listings and reviews (Managed)

  • You own your Google Business Profile and other listings. We are added as a manager, never an owner. You can remove us at any time. You complete any verification.
  • We may draft updates to hours, services, description, photos, and posts, and read performance data. You approve every change. We never change your business name, primary category, or address without your approval.
  • Review replies are drafted, then you approve each one. Nothing posts by itself. Replies never include the reviewer’s personal details or admit fault. Replies may be drafted by AI.
  • Review requests go by text only to people who ticked the text box, and you approve them. No incentives. No review gating. We never write, buy, or edit reviews. Reviews on your site are quoted as written, with the reviewer’s consent.
  • On cancellation we remove our access within 5 business days and leave every profile intact.

Schedule 3. Refunds and cancellation

  • No free trial. You are charged at checkout. Your plan starts when that payment succeeds.
  • Cancel with one tap in the dashboard, or email support@fornaxopsuites.com. There is no retention call. Cancelling ends service that day.
  • Monthly, in your first month: full refund of your first payment.
  • Annual, in your first 14 days: full refund of that payment.
  • After that: we refund the unused days of the period you paid for, rounded down to the cent. The cancel screen shows the exact amount before you tap.
  • Annual renewals: we email you 30 days before each renewal so you can cancel in time.
  • Website (one-time): full refund any time before delivery. Delivery is the day we send your handover link. After delivery there is no refund. We fix defects you report within 30 days.
  • Moving from Managed to a Website. If you cancel Managed and want to keep your site, you can buy the Website with a credit of 50% of the Managed fees you actually paid (for annual plans, the months you used). The credit applies against the Website price and never takes it below $0. Taxes, add-ons, and refunded amounts do not count. Ask within 30 days of cancelling.
  • Always refunded: any charge we made in error.
  • Add-ons already used are not refundable.
  • How refunds are paid: to the original card through Stripe, usually in 5 to 10 business days.
  • Disputes: please contact us before disputing a charge with your bank. We answer within 2 business days.
  • Your data when you cancel: you can get an export of it for 90 days. Download your leads in the dashboard before you cancel, or email support@fornaxopsuites.com and we send you a full export. Then we delete it (Schedule 7).

Schedule 4. Website handover

What you get on delivery. The finished site files (HTML, styles, scripts, images, fonts), a guide and a checklist. A spreadsheet of your leads. Your quote form pointed to an email or form service you control. Our analytics, call-counting, and form scripts are removed. Any third-party scripts we added are listed and removed. Move help for 30 days. A claims snapshot: the business claims on the site on the delivery date, which you confirm. You sign or click to accept delivery.

What you own. Your content and data are always yours. On delivery and full payment you get a perpetual, worldwide, royalty-free licence to use, copy, host, change, and display the delivered files for your business’s own website. You may hire anyone to change them. The licence passes with the business if you sell it. You may use the site text we wrote anywhere. Your domain, registrar account, DNS, email, and Google profile were always yours.

What stays ours. The design system, templates, components, and code patterns stay Fornax’s. You may not resell them, extract them to build sites for others, or offer them as a product. Fonts, icons, and images in the pack keep their own licences, listed in the pack.

Defects. If something we delivered does not work as built, and you tell us within 30 days, we fix it free. After 30 days the site is provided as is. We do not host, update, secure, or support it.

Your duties after delivery. Hosting, security updates, accessibility, privacy notices, scripts you add, text and email compliance, contractor advertising rules, and keeping the site’s claims true are yours.

Your data. We delete our copy of your data 90 days after delivery, except billing records the law requires and proof of text consent (5 years). We keep the site files, which hold no customer data, for up to 12 months so you can download them again. Keep your own copy of the pack.

Coming back. You can buy Managed later.

Schedule 5. How Fornax uses AI

AI saves time. AI can be wrong. Read what it wrote.

WhereWhat AI doesWhat it seesProvider

A feature runs only if its provider is switched on and its price fits our budget. Where a provider is not live yet, the feature stays off.

What AI does not do. It does not answer your phone or text your customers. It does not decide prices, credit, or anything with legal effect. It cannot see another client’s data. It does not change your site or send messages without your action or approval.

No training. We use providers under terms that do not allow them to train on what we send. We never use your data or your customers’ data to train AI.

What you must do. Read your site before you approve it and after any change. Check AI answers before you act on them. AI answers are not legal, tax, accounting, or licensing advice. They are never a deadline you should rely on.

Schedule 6. Acceptable use

Your messages, your duty. When you send texts, emails, or calls through Fornax, your business is the sender. You must follow the Telephone Consumer Protection Act, CAN-SPAM, carrier rules (CTIA and 10DLC), and state laws on calls, texts, and quiet hours. Fornax gives you tools. It does not give you consent you do not have.

Texting. You must:

  • text only people who ticked the “text me” box on your form, except for one missed-call text-back to the caller who just called;
  • treat review requests, offers, and reminders as marketing, so they need that ticked box;
  • honour STOP and similar words at once;
  • keep to the quiet hours in Schedule 1;
  • give accurate business facts for carrier registration;
  • not buy, rent, or import lists of numbers to text. Imported contacts start as “consent unknown” and cannot be texted until they tick the box.

You must not text cold prospects or people who said stop. You must not send content about cannabis, firearms, gambling, high-risk loans, debt collection, sex, or hate, or anything carriers ban. You must not use public URL shorteners or hide who you are.

Email. Email sent in your name must use truthful sender names and subjects, identify your business, carry your physical postal address, and offer a working opt-out that you honour within 10 business days. No purchased lists.

Calls. If you switch on recording or AI answering when it exists, keep the announcement that plays first. Treat every call as needing all-party consent.

Content you may not publish. Anything false or misleading, including licence, insurance, bond, award, guarantee, price, or years-in-business claims you cannot prove. Anything that infringes copyright, trademark, or privacy. Fake or paid reviews. Outcome promises. Unlawful discrimination. Malware or phishing.

Data you may not upload. Social Security numbers, bank or card numbers, driver licence numbers, health information, or passwords. The one exception is taxpayer forms such as W-9s in the Papers vault. Do not upload data you had no right to collect.

Security and fair use. No probing or testing our systems without written permission. No sharing logins. No scraping. No attempts to reach another client’s data. No traffic meant to inflate counts. No use of AI features to break this policy or to reveal other clients’ data.

What we do about a breach. We may remove content, pause texting, pause a site, or end an account (section 11). We may report illegal activity. You remain responsible for messages you sent.

Report abuse: support@fornaxopsuites.com, subject “Abuse”. We reply within 1 business day.

Schedule 7. Data processing

Roles. Some personal data about your customers and staff flows through your site, forms, counter, phone line, texts, dashboard, imports, and connected tools. We call it “Client Personal Data”. For it, you are the controller (the “business” under California law) and Fornax is your processor (“service provider”). We are a controller only for our own account, billing, support, and sales data.

Our duties. We will:

a) process Client Personal Data only on your documented instructions: these Terms, your settings, and your actions in the dashboard. We tell you if an instruction looks unlawful; b) not sell or share it, and not use it outside providing the service to you; c) not combine it with other clients’ data or our sales data, and never link one person across clients; d) not use it to train AI models, and send it to an AI provider only to run a feature you use; e) make benchmarks only from aggregated data that cannot identify a client or person; f) bind everyone with access to confidentiality; g) keep the security measures below; h) follow the laws that apply to us as a service provider and tell you if we cannot.

Your duties. You give the notices and get the consents the law requires for your own collection and messaging. You decide what you upload. You keep logins secure. You answer your customers’ privacy requests.

Subprocessors. You authorise the providers on the list at the end of our Privacy Policy. We bind each to terms at least as protective as these, as far as their standard terms allow, and we stay responsible for them. We give 30 days’ email notice before adding or replacing one that handles Client Personal Data, except in an emergency. If you object on reasonable data protection grounds and we cannot resolve it, you may cancel the affected service and receive a refund of prepaid fees for the unused period. Tools you connect yourself, such as HubSpot, QuickBooks, or Google Business Profile, are your vendors, not ours.

Requests. We give you tools to find, export, correct, and delete your customers’ data. If a person asks us directly, we forward the request to you within 5 business days and answer only if you ask. We delete specific records you ask us to within 45 days.

Security incidents. If we become aware of unauthorised access to or acquisition of Client Personal Data, we notify you without undue delay and within 72 hours of confirming it. We tell you what happened, what data, how many people, and what we are doing. We help you meet your own notice duties, including under A.R.S. 18-552. Notices to individuals, regulators, and credit bureaus are yours to send unless you ask us to send them in your name. Our notice is not an admission of fault.

Audits. We answer reasonable written security questions once a year and give you our Security Statement and our providers’ public certifications. We hold no certification of our own, such as SOC 2. We do not offer on-site audits.

When the service ends. After Managed ends you can get an export of your data for 90 days (we send it on request). Then we delete Client Personal Data, except billing records the law requires, a minimal proof of text consent and STOP records (kept apart for 5 years so you can defend a messaging claim), and data under a legal hold. Any backup copies expire within 30 days. For a Website, we deliver a final export and delete our copy 90 days later, with the same exceptions. Site files, which hold no customer data, are kept up to 12 months after the plan ends or after delivery, then deleted. On request we confirm deletion in writing.

Security measures. TLS in transit. Storage encryption by our providers. Row-level database security tied to your client identifier on every client table. A signed-in check on every request. Encrypted connection tokens. Administrator access limited to one person, with two-step sign-in and logged access to client data. Owner logins with strong passwords or Google sign-in and two-step codes. Photo location data removed before publishing. Secrets kept in our host’s secret store. Vendor review before use. An incident runbook.

Processing details. People: your customers and leads (usually homeowners), people who call or text your Fornax number, site visitors (without identifiers), and your staff and subcontractors. Data: names, phones, emails, addresses or ZIP codes, job descriptions, messages, photos, call details, text content, job and quote and payment amounts, notes, review text, visit counts, and documents you upload. Sensitive data is not sought; taxpayer IDs go only in Papers. Purpose: run the service you bought. Duration: your plan plus the periods above. Location: United States; content delivery worldwide.

Order. This schedule is subject to the limits in the Terms. Where it conflicts with the Terms about Client Personal Data, this schedule wins.
